- Call To Order: The meeting was called to order at approximately 9:19am, by Tony Taffar. Present at the meeting were the following Tansi Village POA board members; Tony Taffar, Eddie Carson, Russ Mixon, Rick Penniston, Rodney Matthews, Keith Harris and Greta Maddox with Seaside Residential Management.
- Minutes: Tony Taffar asked if there were any questions on the draft copy of the minutes that were distributed from the June 10th meeting. The minutes were read by the BOD, there were corrections submitted. Russ made a motion to accept them with corrections. Rodney 2nd the motion, vote was taken, all approved as written.
- Management Report: Greta Maddox
- We had an issue with a homeowner and glass at the pool. We spoke to her and she said that she would make sure that he guests know the rules. Greta also stated that homeowner told her that the guest was not a renter. We explained to her and sent her a letter stating the pool rules and rules regarding renters.
- An update on Ms Williams from the last meeting, the BOD had approved her trailer going in. It was remeasured and will not fit, so she did not buy it.
- The email distribution list has been created and is in the Tansi Village gmail account.
- The google docs are all on the Tansi Village gmail account as well.
- The loan details, we have a loan up to $200,000 loan, 5-year term, fixed interest of 4.7%. We are with a closing attorney now and it should close this week. The funds will be available as we need them.
- We have signed with Tom Woodruff and he is in progress with the suit.
- We have called Waste Management back about the dumpster replacement. They said they are waiting on a shipment of new dumpsters. Should have one within the month.
- Amerigas has been followed up with regarding the propane tank.
- Pond Management, last treatment was August 3rd, they come at the beginning of the month. Great asked if anyone had seen any issues. No issues at this time.
- Beaufort Rentals / CCAM owed us a refund for some management fees, they sent the wrong amount, Greta followed and they are supposed to be sending the correct amount. Greta is keeping an eye on that.
- DHEC, we have submitted the forms to them so they know there was a property management change.
- SC registered agent has been changed over to Seaside Residential Management.
- Letters were sent 2 months ago to the homeowners who still had hurricane damage.
- We have 8 owners that have a balance greater than $500 that we are reaching out to. We have communicated and will keep reaching out to them until they catch up.
- President’s Report: Eddie Carson stated that he didn’t have a specific report and that his topic would be discussed in other reports. He stated he was anxious to see the status of our dock loan and the lawsuit. Tony asked if he would like for Tom Woodruff, our counsel in the lawsuit to go ahead and present and he stated he would.
- Tom Woodruff gave us an update on the lawsuit against CCAM.
- Tom Thanked the Tansi BOD for having the confidence in his office to handle this suit.
- Right now, there are 6 defendants in the lawsuit. All 6 have some liability as it relates to the damages that we incurred. Everett Ballenger, owner of Ballenger Realty and shareholder in Beaufort Rentals LLC and was a shareholder in B.O.C.D.E. LLC, which came into existence to own CCAM. Next is Matt Flewelling and then Patricia Miller. The three corporate entities that are being sued are B.O.C.D.E, LLC, CCAM and Beaufort Rentals LLC.
- There are three causes of action for the lawsuit. We are alleging that all 6 defendants are equally liable. Breach of Contract, Negligence and Breach of Fiduciary Duty.
- The actual contact that Tansi Village Property Owners Association went into was not with CCAM. CCAM was referenced in the contract but the actual contract was with Beaufort Rentals, LLC.
- Beaufort Rentals is licensed by the SC Real Estate Commission. The broker in charge for Beaufort Rentals LLC is Everett Ballenger. Under the law in SC, the broker in charge is responsible for ALL of the actions of his/her agents and employees.
- CCAM no longer exists. All of the operations of CCAM have transferred to a company called Century Management.
- As far as the time frame goes, in the state of SC lawsuits take an average of 9 to 18 months. Every county in the state of SC are mandatory mediation counties. Therefore, we have to go through mediation prior to a court date being assigned. Additionally we are suing for attorney’s fees, but they may not end up in the final judgement.
- Tom asked if there were any questions. Eddie asked if there was anything the Tom needed from the BOD. Tom stated that Greta had gotten him everything he needed for now.
- Tony asked what all was listed in the lawsuit. Tom stated that the clubhouse damages and the dock damages were both in the lawsuit. There may or not be some type of Errors and Omissions insurance.
- Question came from the floor on whether or not there was any indemnification clauses signed. Tony pointed out a paragraph in the CCAM contract. Tom explained that most courts would not allow that part to stand due to the gross negligence on their part.
- Tom explained to the group how the Tansi Homeowners Association was registered with the secretary of state of SC and that we have been since May 13, 1977.
- Tom Woodruff gave us an update on the lawsuit against CCAM.
- Treasurer’s Report: Keith reported that, COH is $139,660 that includes $73,255 in reserves. Looks we have collected about $103,000 this year in association dues. Keith asked Greta if we had written off the ones that we knew were just bad debt. Greta stated that we did. This total leaves us about $13,000 to collect for the rest of the year. Eddie stated that he had some questions from residents about their bills, Greta stated that they should contact her so she can check to make sure bills are correct. She is cleaning up the accounts one by one. Keith asked Greta for the annual meeting that we have a list of each lot and the dues associated with it. Greta agreed.

- Tony noticed there was some patches that Dave did while he was here in July.
- Russ, Rick and Rodney stated that the pipe at the causeway needs to be addressed. The problem is erosion around the pipe. On both sides of the pipe there is erosion back to the road. Russ stated that all of the wrap in the inside of the pipe has come undone. The left side of the pipe, going out is in the worst shape.

- Greta stated that the loan should close next week. Keith stated that some of the wreck out should start next week. Keith also stated that he worked on some the pricing of the lumber and we should be able to save a decent amount of money that we will be able to use to add on to the floater, going from 60ft to 120ft. The extension will be permitted after the fact. The floaters will be built at his shop and then barged over to Tansi. The builder will need the first draw on the loan around Sept 1st. Keith will get with Greta on the timing and exact amount.

- Curtis asked why so much money was going to be spent on the dock which is a luxury item. When we have a bigger issue that affects everyone, getting the water off this island. The ditches and drainage issues need to be fixed. Tony responded that the membership voted unanimously at the annual meeting to go ahead and rebuild the dock. Curtis thanked the board for hearing him today.
- A question from the floor; [no name was given] Is there any way we can mark the hole on the left side of the causeway to keep kids away from the hole? Rodney and Russ stated that they have some caution tape that can be put up and we also have some cones that can be used.
- A question from the floor; [no name was given] You touched on it earlier about sending out letters to the homeowners that have not addressed the damage since the hurricane. Do we have a time line that the damage should have been addressed in? My address is 3 Indian Head, but my concern is 1 Indian Head its really moldy. It was brought up that it’s a 1960‘s era camper that is not livable. It’s on the corner of Indian Head and Tomahawk. There was some discussion from the board and Greta as to which lot number it actually is. Greta stated that they will be reaching out to the homeowners again to get this addressed.
